I, the owner of the property listed above, am a member of the Community Preservation Association (“CPA”). As provided in Section 2.7 of the Amended Bylaws for Community Preservation Association and Utah Code 16-6a-712, I give my proxy to Miki Mullor as my true and lawful attorney, substitute, and proxy for me and in my name, place, and stead, for quorum purposes and to vote or otherwise act with the same effect as I might or could were I personally present to act myself. I hereby revoke any proxy or proxies heretofore given by me to any person or persons whatsoever.

This proxy is good for 11 months, unless sooner revoked. I hereby give my proxy the powers expressly set forth above to be construed as broadly as possible, as well as the following specific powers:
  1. signing a written demand for a special meeting of the members pursuant to Utah Code 16-6a-702(1)(b) (10% of the votes of the association may call a special meeting) and
  2. to vote at that special meeting, or any adjournments thereof on matters specified in the demand for a special meeting of the members, including the following:

Abolish the current reinvestment fee (the reinvestment fee is charged at each closing on the sale of a property in the CPA and is currently set at 1.25% of the value of the unit at the time of transfer):

I do not waive any rights or claims if a court finds the reinvestment fee to be illegal. My vote is not an admission or waiver as for the legal status of the reinvestment fee.

Sending this email from the email address used to address me by the CPA acts as my signature. I agree to transact this proxy via electronic means pursuant to Utah Code 46-4-201, et. seq: and Utah Code 16-6a-712(2)(b).
